This End‑User License Agreement (hereinafter the “Agreement”) governs the procedure for visiting the Общества с ограниченной ответственностью "AIBACK" (LLC "AIBACK"), TIN 313 029 699, зарегистрированное по законодательству Республики Узбекистан (далее - "Компания" или "AIBACK") website, using its functionality, submitting requests, registering an account, as well as any other interaction with the website and the AIBACK software (hereinafter the “Website”, the “Service”).

The Agreement is a public document and applies to all persons who visit the Website, fill in forms, leave contact details, create an account, use the Service or otherwise interact with AIBACK.

This Agreement also governs the terms of limited free trial access to the Service, where such access is provided by the Company free of charge and without entering into the Public SaaS Offer.

The commercial terms of providing paid access to the Service under the SaaS model, as well as the terms of providing implementation, integration, technical support and maintenance services for the AIBACK software, are governed by a separate AIBACK Public SaaS Offer or an individual agreement.

Use of the Website, submission of a request, creation of an account, obtaining trial access or actual use of the Service constitutes full and unconditional acceptance of this Agreement.

The terms of partner access to the Partner Area, as well as promotion, distribution and provision of access to the Service to third parties through partner models, are governed by a separate AIBACK Public Partnership Offer and the relevant appendices thereto.

If a Visitor does not agree with the Agreement, they must immediately stop using the Website and the Service.

By submitting a request, registering or otherwise interacting with the Website and/or the Service, the Visitor confirms that they act voluntarily, provide accurate information and consent to the processing of their contact details for the purposes of feedback, conclusion and performance of a contract, information support and marketing communications to the extent permitted by law and by the Privacy and Cookies Policy.

Where free trial access is provided, contact details may also be processed for the purposes of configuring access, technical communications, preventing abuse and informing about the parameters of the trial mode.
1. Procedure for using the Website
1.1. The Company is AIBACK, a legal entity incorporated in accordance with the legislation of the Republic of Uzbekistan and acting as the operator of the Website and the right holder of the Service.

1.2. The Website is the AIBACK online resource (the websites aiback.uz, aiback.io, including all subdomains, forms, pages, personal accounts and related digital interfaces).

1.3. Visitor - any natural person who:
(a) visits the Website, fills in forms, leaves contact details, registers an account or otherwise interacts with the Website; and/or
(b) obtains access to the Service on a free, limited, demo, trial or other evaluation basis without payment and without accepting the Public SaaS Offer, unless otherwise expressly determined by the Company..

1.4. The Service (Platform, AIBACK Software) is the AIBACK software suite provided under the SaaS model via the Internet, including the web interface, personal account, embedded tools (including API, iFrame), connectors, integrations, partner sections and related documentation.

1.5. User (Service User, Commercial User, Authorized User) - a natural person authorized by the Client to use the Service, including the personal account, API, iFrame and other access interfaces, acting on behalf of and in the interests of the Client on the basis of access rights granted by the Client, within the framework of paid or other commercial access to the Service provided under the Public SaaS Offer, the Public Partnership Offer, the relevant Appendix thereto or an individual agreement with the Company.

Free trial access, demo access or any other limited evaluation access to the Service, provided without payment and without acceptance of the Public SaaS Offer, does not make such natural person a Service User within the meaning of this clause, unless otherwise expressly determined by the Company.

Free trial access is temporary, revocable, limited in duration, functionality, number of requests, available integrations and other usage parameters and does not create for the Company any obligation to provide the full functionality of the Service, a commercial level of service, SLA, paid technical support, implementation, integration, maintenance or other paid services, unless expressly stated otherwise by the Company.

1.6. Partner - a legal entity or individual entrepreneur who has accepted the AIBACK Public Partnership Offer and obtained access to the Partner Area of the Service for the purposes of promoting, distributing, White‑Label use and/or reselling access to the Service under the terms of the Public Partnership Offer, the relevant Appendices and/or an individual agreement with the Company.

1.7. Client - в контексте настоящего Соглашения: юридическое лицо, индивидуальный предприниматель, принявшие Публичную SaaS-оферту AIBACK либо заключившие с Компанией индивидуальный договор. Партнёр, принявший Публичную партнёрскую оферту, является Клиентом по настоящему Соглашению исключительно в части правил использования Сайта и Сервиса, но не является Клиентом по Публичной SaaS-оферте, если иное прямо не предусмотрено соответствующим Приложением.

A natural person who uses the Website or the Service solely within the framework of free, limited, demo, trial or other evaluation access without payment and without acceptance of the Public SaaS Offer is not considered a Client for the purposes of this Agreement and the Public SaaS Offer, unless otherwise expressly provided by a separate public offer, an Appendix to the Public Partnership Offer or an individual agreement with the Company.

1.8. Free Trial Access (Trial Access) - the Company may, at its sole discretion, provide the Visitor with limited free trial access to the Service without charging any fees, without acceptance of the Public SaaS Offer and without the Company incurring any obligation to provide paid services.

Бесплатный пробный доступ предоставляется исключительно на основании настоящего Соглашения, являющегося достаточным договорным основанием в соответствии с законодательством Республики Узбекистан. Акцептом условий предоставления пробного доступа является регистрация в Сервисе и/или фактическое начало его использования. Отношения сторон в рамках пробного доступа регулируются настоящим Соглашением в полном объёме, если иное прямо не указано Компанией.

Such access is provided solely for the purposes of familiarizing oneself with the Service, assessing its functionality and testing its compatibility with the Visitor’s intended use cases.

The Company may independently determine the scope of functionality, duration, usage limits, composition of available modules, availability or absence of API/iFrame/integrations, the authorization procedure, as well as the grounds for suspending, restricting or terminating free trial access at any time.

If a person using free trial access intends to obtain paid access to the Service, further use of the Service on a commercial basis shall only be carried out after acceptance of the Public SaaS Offer, acceptance of the Public Partnership Offer (where applicable), or conclusion of a separate agreement with the Company.

1.9. User Content - any information, texts, images, comments, files, requests, reviews and other materials posted by the Visitor, the Service User or the Partner on the Website, in the Personal Account, in the Partner Area or transmitted through the Service.

1.10. Personal data means any information relating to an identified or directly or indirectly identifiable natural person, processed by the Company when using the Website and the Service, as defined in the Law of the Republic of Uzbekistan “On Personal Data” No. ZRU‑547.
2. General provisions
2.1. The Website and the Service are intended for familiarization with AIBACK products, submitting requests, communication with the Company, using the functionality of the Service and, where a separate Public Offer is available, receiving paid services under the SaaS model.

2.2. This Agreement is an independent document and operates together with the Privacy and Cookies Policy, the AIBACK Public SaaS Offer, as well as the legislation of the Republic of Uzbekistan, including the Law of the Republic of Uzbekistan “On Personal Data”. By adhering to this Agreement, the User confirms that he/she has reviewed and agrees with the terms of the Privacy and Cookies Policy.

2.3. In the event of any inconsistency between this Agreement and the Offer regarding commercial terms, the Offer shall prevail; regarding the rules for using the Website and the Service, this Agreement shall prevail.
3. Rules for visiting the Website and submitting requests
3.1. The Visitor has the right to freely browse the Website, study information about the Service, submit a request, subscribe to news and contact the Company via feedback forms. By submitting any form on the Website, the Visitor confirms that the data he/she provides are accurate, up‑to‑date and belong to him/her or have been obtained on a lawful basis.

3.2. The Visitor also agrees that the Company has the right to contact him/her using the provided contact details for processing the request, giving a presentation, sending commercial materials, clarifying information and providing related communications, including marketing communications, to the extent permitted by law and by the consent settings of the Website and Service User.

3.3. The Visitor is not allowed to use the Website forms for:
  • submitting false or knowingly inaccurate data;
  • posting spam, malicious messages or unlawful materials;
  • circumventing technical limitations of the Website;
  • collecting information about other users without their consent;
  • other actions that violate the law or the rights of third parties.
4. Registration and account
4.1. To access certain functions of the Website and/or the Service, including the Personal Account, the Partner Area, API, iFrame and other interfaces, the Company may require registration and creation of an account.

4.2. The Visitor, the Service User and/or the Partner must ensure the confidentiality of the login, password, tokens, verification codes, access keys and other means of accessing the account.

4.3. All actions performed using the credentials of the relevant account are deemed to be performed by the person to whom such account is registered, unless that person has notified the Company of unauthorized access within a reasonable time after discovering such access.

4.4. The Company may temporarily restrict access to an account if it suspects a breach of this Agreement, an attempt at unauthorized access, the use of automated tools, mass requests, bots, or any other activity that creates a security risk for the Website, the Service, user data or the Company’s infrastructure.
5. Rules for using the Service
5.1. The User undertakes to use the Service in good faith, only for lawful purposes and in accordance with this Agreement, the Privacy and Cookies Policy, the AIBACK Public SaaS Offer and applicable law.

5.2. The User is prohibited from:
  • copying, modifying, decompiling, disassembling or attempting to obtain the source code of the Service;
  • interfering with the operation of the Service, circumventing limitations, attacking, scanning or testing vulnerabilities without the Company’s written consent;
  • using the Service for unlawful content, deceiving users, spam, phishing, fraud or mass unsolicited communications;
  • using the Service in violation of the rights of third parties, advertising requirements, consumer protection rules, personal data protection rules and industry‑specific regulation;
  • granting access to the Service to persons who are not authorized to receive such access.

5.3. The Visitor and the User undertake not to upload or transmit to the Service personal data of third parties without having a proper legal basis (consent of the data subjects, law, contract or another basis provided by law), and not to post information prohibited by law.

5.4. In case of uploading data of third parties, the Visitor and the User warrant that they have all necessary rights and permissions to process such data using the Service and assume the responsibility of a Controller (as defined in the Law of the Republic of Uzbekistan “On Personal Data”) towards such persons.
6. User Content
6.1. The Website Visitor and the Service User retain their rights to their User Content to the extent provided by law.

6.2. Размещая Контент Пользователя на Сайте или передавая его через Сервис, Посетитель и Пользователь предоставляют Компании ограниченное, неисключительное, безвозмездное право использовать такой Контент исключительно в объёме и в целях, необходимых для: предоставления функционала Сервиса, технической поддержки, аналитики в обезличенном виде, предотвращения злоупотреблений и исполнения настоящего Соглашения. Данное право ограничено сроком действия Соглашения, если иное прямо не предусмотрено настоящим Соглашением или Офертой.

6.3. The Visitor and the User warrant that they have all necessary rights and consents to transfer User Content to the Company and that such Content does not violate the rights of third parties or the law.

6.4. The Company has the right to delete, hide, block or restrict access to User Content if it deems such Content unlawful, harmful, disputable or in violation of this Agreement, the Offer or the law.
7. Cookies, analytics and marketing
7.1. The Website uses cookies and similar technologies to:
  • ensure operation and security of the Website;
  • remember settings;
  • analyze traffic;
  • improve user experience;
  • measure advertising effectiveness;
  • personalize marketing communications.

7.2. The User agrees to the use of necessary cookies to the extent required for the operation of the Website.

7.3. The use of analytical and marketing cookies, as well as the transfer of data to advertising systems and analytics services, is carried out in accordance with the Privacy and Cookies Policy and within the limits of the consent of the Website Visitor and Service User where such consent is required by law.
8. Personal data and confidentiality
8.1. The Company processes personal data of the Website Visitor and the Service User in accordance with the legislation of the Republic of Uzbekistan, including the Law “On Personal Data” No. ZRU‑547.

8.2. By submitting a request or otherwise interacting with the Website, the Visitor or the User gives consent to the processing of his/her contact details, including name, phone number, e‑mail, information about the company, position, IP address, cookie identifiers, data on actions on the Website and other information specified in the Privacy and Cookies Policy.

8.3. The Company may use the received data:
  • for feedback;
  • for contract preparation and performance;
  • for improvement of the Website and the Service;
  • for analytics and statistics;
  • for advertising and remarketing;
  • for communications via e‑mail, phone, messengers and other channels, where permitted by law and by the User’s consents.

8.4. Detailed rules for processing personal data and cookies are established by the Privacy and Cookies Policy published on the Website, which is an integral part of the legal regime of the Website.
9. Intellectual property
9.1. Exclusive rights to the Website, the Service, software code, interfaces, design, databases, texts, logos, trademarks and other intellectual property objects belong to the Company or other right holders on a lawful basis.

9.2. The Website User and/or Service Visitor is granted a limited, non‑exclusive, non‑transferable right to use the Website and the Service only to the extent necessary for their normal user‑oriented purpose and within this Agreement.

9.3. Any other use is allowed only with the Company’s written consent.
10. Special provisions for Partners
10.1. Partners who have gained access to the partner section act in accordance with this Agreement, the Public SaaS Offer and the AIBACK Public Partnership Offer.

10.2. With regard to access to the partner section, management of Clients and settlements, the provisions of the Partnership Offer prevail over this Agreement.

10.3. Вопросы ответственности Партнёра перед его Клиентами, а также вопросы взаиморасчётов и разграничения ответственности между AIBACK и Партнёром регулируются Публичной партнёрской офертой и соответствующими Приложениями к ней, которые имеют приоритет над настоящим разделом.
11. Liability and Access to the Service
11.1. The Website and the Service are provided “as is”, unless otherwise expressly stipulated by the Offer or a separate agreement.

11.2. The Company does not warrant that:
  • the Website and the Service will operate uninterruptedly and without errors;
  • the information on the Website will always be absolutely complete and up‑to‑date;
  • the Visitor and/or the User will achieve any specific commercial result as a result of using the Website or the Service.

11.3. To the extent permitted by mandatory provisions of the laws of the Republic of Uzbekistan, the Company shall not be liable for:
  • acts or omissions of Visitors, Users, Clients, Partners and third parties;
  • technical failures caused by circumstances beyond the Company’s reasonable control (communication failures, infrastructure of providers, payment systems, actions of state authorities, etc.);
  • indirect or consequential losses, loss of profit, loss of data or reputational damage.

11.4. The Visitor and the User are solely responsible for compliance with applicable law when using the Website and the Service, including advertising requirements, personal data protection, consumer protection and sector‑specific regulation.

11.5. The Company may restrict, suspend or terminate the Visitor’s and/or the User’s access to the Website or the Service (including blocking an account) in the following cases:
  • breach of this Agreement, the Offer, the Privacy and Cookies Policy or mandatory provisions of law;
  • attempt to gain unauthorized access to the Service, infrastructure or other persons’ data, as well as attempts to circumvent technical limitations;
  • use of the Website or the Service for distribution of spam, malicious code, fraud, phishing or other abuses;
  • receipt of substantiated complaints from third parties;
  • receipt of a lawful request from a competent authority;
  • where, in the Company’s reasonable opinion, there is a risk to the security of the infrastructure, the rights and legitimate interests of users or the Company’s reputation.

11.6. In case of restriction or termination of access on the grounds specified in Clause 11.5, the Company shall not be liable for any consequences for the Visitor and/or the User, unless otherwise directly follows from mandatory provisions of the laws of the Republic of Uzbekistan or is stipulated by the Offer or an individual agreement.

11.7. Where reasonably possible, the Company may notify the User of blocking or suspension of access and of the general reasons for such measures, except where disclosure of such information is restricted by law or may entail additional security risks.
12. Link to the Offer and hierarchy of documents
12.1. This Agreement governs the Website or Service, forms, requests, accounts, content and the rules of conduct of the Website Visitor and the Service User.

12.2. The Offer governs paid SaaS access, plans, settlements, commercial terms, SLAs and other support and implementation services.

12.3. В случае противоречий между документами применяется следующая иерархия:
(1) Императивные нормы законодательства Республики Узбекистан;
(2) Публичная SaaS-оферта - в части коммерческих условий предоставления платного доступа;
(3) Публичная партнёрская оферта - в части партнёрских отношений;
(4) Настоящее Пользовательское соглашение (EULA) - в части правил использования Сайта и Сервиса;
  • (5) Политика конфиденциальности и Cookies - в части обработки персональных данных и использования cookies.
13. Amendments to the Agreement
13.1. The Company has the right to amend this Agreement unilaterally by publishing a new version on the Website.

13.2. The new version becomes effective upon publication, unless otherwise specified separately.

13.3. Continued use of the Website, submission of requests or use of the Service after publication of the new version means that the Website Visitor and the Service User agree with the amendments.
14. Governing law and disputes
14.1. This Agreement is governed by the law of the Republic of Uzbekistan.

14.2. Disputes and disagreements shall be resolved through negotiations, and if it is impossible to reach agreement - in the court at the place of registration of the Company, unless otherwise provided by mandatory norms of law.
15. Final provisions
15.1. The Company has the right to send the Visitor and/or the User service, information and marketing messages within the scope of his/her consent and applicable law.

15.2. If any provision of this Agreement is found invalid, the remaining provisions shall remain in force.

15.3. This Agreement is published on the Website in Russian, Uzbek and English; in case of discrepancies, the Russian version shall prevail unless otherwise specified on the Website.
